Accepting these terms

By using webemperors.com or engaging Web Emperors for services, you agree to these terms. If you don't agree, please don't use the site or our services.

Services

We provide digital marketing, content, design, development, and AI automation services. The specific scope of any engagement is defined in a separate Statement of Work (SoW) or quote that we both agree to in writing. These site-wide terms apply alongside the SoW; where they conflict, the SoW wins.

Payment

• Monthly retainers are billed in advance unless otherwise agreed.
• Project work is typically 50% upfront, 50% on delivery (or as scoped).
• Invoices are due within 14 days of issue.
• Overdue balances accrue interest at 4% above the European Central Bank base rate, calculated from the due date.
• Ad spend, third-party software, and hosting are billed at cost with receipts on request.

Cancellation

Monthly retainers can be cancelled by either party with 30 days' written notice unless the SoW specifies otherwise. Project work is non-refundable for work already completed; remaining deposits are returned pro-rata.

Intellectual property

You own the final deliverables once full payment is received. We keep ownership of our underlying processes, templates, code libraries, and any tools we built before or independently of your engagement. We may showcase work in our portfolio after engagement ends unless your SoW says otherwise.

You're responsible for ensuring you have rights to any materials, brand assets, photography, copy, or third-party content you provide to us.

Confidentiality

We treat your business information, customer data, and strategy as confidential. We share it with our team and trusted subcontractors only on a need-to-know basis, all under equivalent confidentiality obligations.

Limitation of liability

We can't guarantee marketing outcomes. Too many variables outside our control. Our maximum liability for any engagement is capped at the total fees you paid us in the 6 months preceding the issue. We're not liable for indirect, consequential, or special damages.

This doesn't limit liability for fraud, gross negligence, or anything else that can't be excluded under applicable law.

Indemnification

You agree to defend and indemnify Web Emperors against claims arising from your misuse of our services, your provision of infringing materials, or your breach of these terms.

Governing law

These terms are governed by the laws of the jurisdiction where Web Emperors is registered. Disputes go to the competent courts of that jurisdiction, unless your SoW specifies arbitration.

Changes

We may update these terms occasionally. The "Last reviewed" date at the top shows when. Material changes get notified to active clients by email.
